Agreement to Terms

These Terms and Conditions ("Terms", "Terms and Conditions") govern your relationship with Service365 operated by Service365 Inc. ("us", "we", or "our").

Please read these Terms and Conditions carefully before using our Service365 platform (the "Service") operated by Service365 Inc.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using our Service you agree to be bound by these Terms. If you disagree with any part of these terms then you may not access the Service.

Definitions

For the purposes of these Terms and Conditions:

Company (referred to as either "the Company", "we", "us" or "our") refers to Service365 Inc., 5501 Walkers Line, Burlington, ON, L7M 0P9.
Service refers to the Service365 platform, accessible from https://app.service365.com and related services.
User or "you" refers to the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service.
Account means a unique account created for you to access our Service or parts of our Service.
Content refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by you, regardless of the form of that content.

User Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for all activities that occur under your account.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Acceptable Use

You may use our Service for lawful purposes only. You agree not to use the Service:

In any way that violates any applicable federal, state, local, or international law or regulation
To transmit, or procure the sending of, any advertising or promotional material, or any other form of similar solicitation ("spam")
To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service

Service Availability

We strive to provide reliable service, but we cannot guarantee that the Service will be available at all times. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

We reserve the right to withdraw or amend our Service, and any service or material we provide on the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period.

Third-Party AI Integrations

The Service may be connected to third-party artificial intelligence assistants, including Anthropic's Claude, through optional integrations such as the Service365 Model Context Protocol (MCP) connector. These integrations are entirely optional and only become active when you explicitly connect your Service365 account to an AI client.

When you enable an AI integration, the AI provider may receive Service365 data that you or the AI request on your behalf in the course of fulfilling your prompts. The specific data flows, retention practices, and third-party processors involved are described in our Privacy Policy.

You are responsible for your use of any AI integration, including the prompts you submit, the actions you confirm, and any decisions you make based on AI-generated responses. Service365 does not guarantee the accuracy or completeness of AI-generated output. AI integrations are governed by the terms of the third-party AI provider in addition to these Terms; if there is a conflict between those terms and your use of the Service365 data they expose, these Terms control.

We may add, modify, or remove AI integrations at any time without notice.

Intellectual Property Rights

The Service and its original content, features and functionality are and will remain the exclusive property of Service365 Inc. and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

User Content

Our Service may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material ("Content"). You are responsible for the Content that you post to the Service, including its legality, reliability, and appropriateness.

By posting Content to the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service.

You retain any and all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights.

Prohibited Content

You may not upload, post, or transmit any Content that:

Is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights
Contains software viruses or any other computer code designed to interrupt, destroy, or limit functionality
Promotes illegal activities or violates any laws or regulations

Payment Terms

If you purchase services from us, you agree to pay all charges associated with your account. All fees are non-refundable unless otherwise stated.

We reserve the right to change our pricing at any time. Any price changes will be communicated to you in advance and will apply to future billing periods.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may contact us at support@service365.com.

Disclaimer of Warranties

The information on this Service is provided on an "as is" basis. To the fullest extent permitted by law, this Company:

Excludes all representations and warranties relating to this Service and its contents, or which is or may be provided by any affiliates or any other third party, including in relation to any inaccuracies or omissions in this Service and the Company's literature; and

Excludes all liability for damages arising out of or in connection with your use of this Service. This includes, without limitation, direct loss, loss of business or profits (whether or not the loss of such profits was foreseeable, arose in the normal course of things, or you have advised this Company of the possibility of such potential loss), damage caused to your computer, computer software, systems and programs and the data thereon, or any other direct or indirect, consequential, or incidental damages.

This Company however does not exclude liability for death or personal injury caused by its negligence. The above exclusions and limitations apply only to the extent permitted by law. None of your statutory rights as a consumer are affected.
